Terms and Conditions
These Terms and Conditions ("Terms") govern your access to and use of scouto.ai (the "Site") and the AI-powered recruiting platform and related services (collectively, the "Services") provided by Aurelium Inc. ("Scouto", "we", "us" or "our"). Aurelium Inc. is a corporation organized under the laws of Delaware, United States. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

By creating an account, accessing the Site, or otherwise using the Services, you acknowledge that you have read, understood, and agreed to these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case "you" refers to that entity.

By using the Services, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into a binding agreement. The Services are not intended for use by any person in a jurisdiction where such use is prohibited by law.

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately at support@scouto.com of any unauthorized use or suspected security breach.
5. The Services
Scouto provides an AI-driven platform that assists Clients with sourcing, engaging, interviewing, and evaluating Candidates. The Services may include automated interview tools, candidate scoring, resume parsing, scheduling, communication, and reporting features. We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

All rights, title, and interest in and to the Services, including all software, models, algorithms, trademarks, logos, and content (excluding Client Content), are and will remain the exclusive property of Scouto and its licensors. These Terms do not grant you any right to use our trademarks, service marks, or branding without our prior written consent. You retain ownership of Content you submit, and grant Scouto a limited, worldwide, non-exclusive license to host, process, and use such Content solely to provide and improve the Services.
9. AI-Generated Content and Automated Decisions
The Services use artificial intelligence and automated systems to generate interview questions, evaluate Candidate responses, and produce ranking or scoring outputs. These outputs are advisory and intended to support—not replace—human judgment. The final hiring decision always rests with the Client. Scouto does not guarantee the accuracy, completeness, or suitability of any AI-generated output. Clients are solely responsible for ensuring that their use of AI-generated outputs complies with applicable employment, anti-discrimination, and data protection laws.
10. Fees and Payment
Access to certain features of the Services may require payment of fees, as set out in a separate order form, subscription plan, or agreement between you and Scouto. All fees are non-refundable unless otherwise stated in writing. You are responsible for all applicable taxes. Late payments may result in suspension or termination of your access.
11. Third-Party Services
The Services may integrate with or link to third-party applications, websites, or services (such as applicant tracking systems, calendars, or communication tools). We are not responsible for the content, policies, or practices of any third-party services. Your use of such third-party services is at your own risk and is subject to their respective terms and privacy policies.
12. Confidentiality
Each party agrees to protect the confidential information of the other party using reasonable care and to use it solely for the purposes of these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully received from a third party without confidentiality obligations.
13. Data Protection and Privacy
Our collection and use of personal information in connection with the Services is described in our Privacy Policy. By using the Services, you acknowledge that you have reviewed the Privacy Policy and consent to the practices described therein. Clients are responsible for obtaining all necessary consents from Candidates and other individuals whose information is processed through the Services. Scouto does not sell personal information for marketing or advertising purposes.
Scouto implements industry-standard security safeguards for the Services, including SOC 2 Type II certification, TLS 1.2+ encryption in transit, AES-256 encryption at rest, multi-factor authentication, and role-based access controls, as further described in our Privacy Policy.
To exercise any data protection rights available to you under applicable law (including access, correction, deletion, or objection to automated processing), or to raise questions about how your personal information is processed, please contact privacy@scouto.com. Scouto's servers are located in the United States, and personal information may be transferred to and processed in jurisdictions outside your country of residence. Where required by law, Scouto uses Standard Contractual Clauses or other approved safeguards for transfers of personal information originating in the EEA, United Kingdom, or Switzerland.
14. Warranties and Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SCOUTO, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO SCOUTO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Indemnification
You agree to indemnify, defend, and hold harmless Scouto and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your use or misuse of the Services, (b) your violation of these Terms, or (c) your violation of any applicable law or the rights of any third party.
17. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe that you have breached these Terms, engaged in unlawful activity, or if continued provision of the Services is no longer commercially viable. Upon termination, your right to use the Services will immediately cease. Scouto retains personal data only as long as necessary for the purposes described in the Privacy Policy or as required by law; candidate interview recordings are stored for 90 days by default and can be deleted earlier at a Client's request.
18. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
19. Changes to These Terms
We may update these Terms from time to time. Material changes will be notified via the Site or email. Continued use of the Services after such changes constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services.
20. SMS and Text Messaging
Scouto may send SMS text messages to users who have provided their phone number through our recruiting platform, for transactional purposes related to job applications (application confirmations, interview scheduling, and status updates). Message and data rates may apply. You may opt out at any time by replying STOP to any message. We do not share phone numbers with third parties for marketing purposes. By providing your phone number, you consent to receive such transactional messages from Scouto.
